GENERAL TERMS & CONDITIONS OF SALE AND CONTRACTS OF QUANTUM SURVEYS PTY LTD

Quoted Price

1. Quotation / proposal expiry date – usually thirty (30) days from the date the quotation / proposal was issued, unless otherwise stated.
2. All prices quoted are in Australian Dollars.
3. Goods and Services Tax (GST) is included in quoted price.

Acceptance of Quotation

1. The client’s purchase represents acceptance of the Terms and Conditions referred to in the quotation / proposal.  Acceptance of quotation is in written form only.  Verbal confirmation will not be deemed acceptance of quotation.
2. Supply of quotation to client does not deem Quantum Surveys availability to undertake contract.  Quantum Surveys acceptance of contract is subject to confirmation.
3. Orders cannot be cancelled except with Quantum Surveys written consent, which consent Quantum Surveys be entitled to reimburse from the client any costs incurred from the order. Any consent will be on terms, which indemnify Quantum Surveys against all losses.

Payment Terms

1. Payment is due within thirty (30) days of receipt of invoice unless otherwise stated.
2. The purchase is not complete until payment has been made in full.
3. Quantum Surveys shall be entitled to monthly progress payments if our services for a contract runs over one month.
4. Failure to make payment when due, constitutes a breach of the contract and Quantum Surveys may repudiate the whole contract without in any way jeopardising its right of payment for work done or money expended, or its other legal rights.

Delivery

1. Quantum Surveys will make every reasonable effort to meet any delivery dates quoted. However Quantum Surveys will not be liable for its failure to meet these delivery dates.

Acceptance of Services

1. Acceptance will be presumed unless the client demonstrates within fourteen (14) days of delivery that the services do not meet their requirements.

Limitation of Remedies and Liabilities

1. In no event will Quantum Surveys be liable for indirect, special, incidental or consequential damages (including loss of profits).
2. Where it is found that the services provided were defective, and directly caused property damage, then Quantum Surveys’ liability will not exceed the purchase price of the services.

Miscellaneous

• Quantum Surveys’ failure to exercise any of its rights in these Terms and Conditions will not constitute or be deemed a waiver or forfeiture of such rights.
• Any dispute regarding the interpretation or validity of these Terms and Conditions will be governed by the laws of the State of Western Australia.
• These conditions (which may only be waived in writing signed by Quantum Surveys) shall prevail over all conditions of the purchaser’s order to the extent of any inconsistency.
• All drawings are the exclusive property of our principal client, and must not be lent, copied, or otherwise used without the written consent of our principal client or of Quantum Surveys and must be returned on demand.
